Welcome to StratumNexus, the premier networking platform for senior executives. These Terms of Use constitute a legally binding agreement between you and StratumNexus SIA ("StratumNexus," "we," "us," or "our") governing your access to and use of the StratumNexus website and services.

By accessing or using our website and services, you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you may not access the website or use our services.

1. Definitions

"Services" refers to the StratumNexus website, executive networking platform, events, and related services.
"Member" refers to any individual who has registered for and been accepted to use the StratumNexus platform.
"Content" refers to any information, data, text, software, graphics, messages, or other materials that are posted, uploaded, or otherwise made available through the Services.

2. Eligibility and Registration

2.1 Eligibility

To be eligible to use the StratumNexus Services, you must meet the following criteria:

You must be at least 18 years of age
You must hold a senior executive position (C-suite, Director level, or equivalent)
You must successfully complete our verification process
You must have the authority to enter into this agreement

2.2 Registration and Verification

To register for the Services, you must provide accurate, current, and complete information as requested on our registration form. We reserve the right to verify your identity and professional status through various means, including but not limited to:

Corporate email verification
Professional credential verification
Identity document verification
Professional reference checks

You agree to update your information promptly if there are any changes to ensure it remains accurate, current, and complete.

2.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Immediately notify StratumNexus of any unauthorized use of your account
Ensure that you log out from your account at the end of each session
Use a strong, unique password and enable two-factor authentication where available

3. Services and Membership

3.1 Service Description

StratumNexus provides an executive networking platform that includes various services such as:

Executive profile creation and management
Strategic connection matching with other executives
Access to networking events and roundtables
Individual executive support services
Analytics and insights on networking effectiveness

3.2 Membership Levels and Fees

StratumNexus offers different membership levels with varying features, benefits, and fees. Membership fees are subject to change with notice to Members. Current pricing and membership details are available upon request.

Membership fees are non-refundable except as expressly provided in these Terms or required by applicable law.

3.3 Membership Term and Renewal

Membership terms vary based on the selected membership level. Memberships automatically renew at the end of each term unless cancelled according to the cancellation procedures outlined in Section 3.4.

3.4 Cancellation

You may cancel your membership by providing written notice to StratumNexus at least 30 days before the end of your current term. Cancellation requests should be sent to membership@vilnametricslab.com.

4. Member Conduct

4.1 General Conduct

As a Member of StratumNexus, you agree to:

Act professionally and ethically in all interactions with other Members
Provide accurate information about yourself and your professional experience
Respect the privacy and confidentiality of other Members
Use the Services for legitimate business networking purposes only
Comply with all applicable laws, regulations, and professional standards

4.2 Prohibited Activities

You agree not to engage in any of the following prohibited activities:

Using the Services for any illegal purpose or in violation of any laws
Harassment, intimidation, or discrimination against other Members
Sharing access to your account or the Services with any third party
Sending unsolicited commercial messages or spam to other Members
Collecting or harvesting information about other Members without their consent
Impersonating any person or entity or falsely stating your affiliation with a person or entity
Interfering with or disrupting the Services or servers connected to the Services
Attempting to gain unauthorized access to any part of the Services
Using the Services for direct sales solicitation without prior authorization
Posting or sharing Content that is unlawful, fraudulent, misleading, defamatory, obscene, or otherwise objectionable
Violating the intellectual property rights of others

4.3 Confidentiality

You acknowledge that through your use of the Services, you may have access to confidential information of other Members. You agree to:

Maintain the confidentiality of information shared by other Members
Not disclose or use confidential information for any purpose other than the purpose for which it was shared
Comply with any non-disclosure agreements or confidentiality protocols established for specific events or interactions

5. Content

5.1 Member Content

You retain ownership of any Content that you submit, post, or display on or through the Services. By submitting, posting, or displaying Content on or through the Services, you grant StratumNexus a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, modify, publish, translate, distribute, and display such Content for the purpose of providing and promoting the Services.

5.2 Content Restrictions

You are solely responsible for any Content that you submit, post, or display on or through the Services. You represent and warrant that:

You own or have the necessary rights to the Content you post
The Content does not violate the rights of any third party
The Content complies with these Terms and all applicable laws

5.3 Content Monitoring and Removal

StratumNexus has the right, but not the obligation, to monitor and review Content posted on the Services. We may remove any Content that violates these Terms or is otherwise objectionable without prior notice.

6. Intellectual Property

6.1 StratumNexus Intellectual Property

The Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the property of StratumNexus or its licensors and are protected by copyright, trademark, and other intellectual property laws.

6.2 License to Use Services

StratumNexus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal business networking purposes in accordance with these Terms.

6.3 Restrictions on Use

You may not:

Modify, adapt, translate, or reverse engineer any portion of the Services
Remove any copyright, trademark, or other proprietary notices from the Services
Use any robot, spider, site search/retrieval application, or other device to retrieve or index any portion of the Services
Collect any information about other users for any purpose other than using the Services as permitted by these Terms
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission from StratumNexus

7. Termination and Suspension

7.1 Termination by You

You may terminate your membership at any time as described in Section 3.4.

7.2 Termination or Suspension by StratumNexus

StratumNexus may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

Violation of these Terms
Engaging in prohibited activities
Failure to pay membership fees
Providing false or misleading information
At the request of law enforcement or other government agencies
Unexpected technical or security issues

7.3 Effect of Termination

Upon termination of your account, your right to access and use the Services will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

8. Disclaimers and Limitations of Liability

8.1 Service Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. STRATUMNEXUS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

STRATUMNEXUS MAKES NO WARRANTY THAT (i) THE SERVICES WILL MEET YOUR REQUIREMENTS, (ii) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE, OR (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICES WILL MEET YOUR EXPECTATIONS.

8.2 Member Interactions Disclaimer

STRATUMNEXUS IS NOT RESPONSIBLE FOR THE CONDUCT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF THE SERVICES. STRATUMNEXUS MAKES NO REPRESENTATIONS OR WARRANTIES AS TO THE CONDUCT OF USERS OR THEIR COMPATIBILITY WITH ANY CURRENT OR FUTURE USERS. YOU AGREE TO TAKE REASONABLE PRECAUTIONS IN ALL INTERACTIONS WITH OTHER MEMBERS, PARTICULARLY IF YOU MEET OFFLINE.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STRATUMNEXUS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, THAT RESULT FROM THE USE OF, OR INABILITY TO USE, THE SERVICES.

UNDER NO CIRCUMSTANCES WILL STRATUMNEXUS BE RESPONSIBLE FOR ANY DAMAGE, LOSS OR INJURY RESULTING FROM HACKING, TAMPERING OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STRATUMNEXUS ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO OR USE OF OUR SERVICES; (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION STORED THEREIN; (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES; (V) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH OUR SERVICES BY ANY THIRD PARTY; AND/OR (VI) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICES.

IN NO EVENT SHALL THE TOTAL LIABILITY OF STRATUMNEXUS TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO BRINGING SUCH CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless StratumNexus, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Latvia, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the Rules of the Latvian Chamber of Commerce and Industry, which Rules are deemed to be incorporated by reference into this clause. The number of arbitrators shall be one. The seat, or legal place, of arbitration shall be Riga, Latvia. The language to be used in the arbitral proceedings shall be English.

11. Changes to Terms

StratumNexus reserves the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on our website and updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.
